Terms of Service

These Terms of Service (“Terms”) govern access to and use of the HakimiAI conversational AI platform, our hosted Odoo ERP offering, and related services (collectively, the “Service”) provided by Hakimi Labs Business Analytics (“Hakimi Labs,” “we,” “us”). By accessing or using the Service, you agree to be bound by these Terms. If you are agreeing on behalf of a business, you represent that you have authority to bind that business (“Customer” or “Tenant”).

1. The Service

Hakimi Labs provides a multi-tenant platform that lets a Tenant deploy AI-powered chatbots to their own website or messaging channels, and gives the Tenant’s own team an internal AI assistant (the “system agent”) to manage their account and query their connected business data. Tenants may optionally connect third-party services (e.g. Google Analytics, WooCommerce, WhatsApp, Telegram) to extend the Service’s functionality.

2. Accounts

• You must provide accurate information when creating an account and keep it up to date.
• You are responsible for safeguarding your account credentials and for all activity under your account.
• You must notify us promptly of any unauthorized use of your account.

3. Connected Third-Party Accounts

Where a Tenant connects a third-party account (such as Google Analytics, Google Ads, WooCommerce, Telegram, or WhatsApp), the Tenant is solely responsible for having the right to grant us access to that account and for complying with that third party’s own terms of service. We access only the scope of data the Tenant authorizes, and only to power the specific feature the Tenant enables. A Tenant may revoke any such connection at any time; see our Privacy Policy for details on how connected data (including Google Analytics data) is used.

We do not control, and are not responsible for, the availability, accuracy, or content of third-party services. Interruptions or changes to a connected third-party service (including changes to its API or authorization requirements) may affect the availability of related features.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation;
• Infringe the intellectual property or privacy rights of others;
• Transmit malware, spam, or unauthorized advertising;
• Attempt to gain unauthorized access to the Service, other tenants’ data, or connected third-party accounts;
• Reverse engineer or attempt to extract the underlying models or source code of the Service, except as permitted by law;
• Use the Service to build a directly competing product.

5. Data Ownership

As between the parties, a Tenant retains ownership of the business data it uploads or connects to the Service, and of its End Users’ conversation data collected through its chatbots. We use that data solely to provide the Service to the Tenant, as described in our Privacy Policy. We do not claim ownership of Tenant data and will not use it to train models shared across other Tenants without separate consent.

6. Intellectual Property

The Service, including its software, design, and branding, is owned by Hakimi Labs and protected by intellectual property laws. Subject to these Terms, we grant Tenants a limited, non-exclusive, non-transferable right to use the Service during their subscription term.

7. Fees and Payment

Use of the Service beyond any free trial is subject to the fees agreed in your order form, subscription agreement, or as published by Hakimi Labs from time to time. Fees are non-refundable except as required by law or as otherwise agreed in writing.

8. Confidentiality

Each party agrees to protect the other party’s confidential information with the same degree of care it uses for its own confidential information of similar nature, and not to disclose it except as needed to perform under these Terms or as required by law.

9. Disclaimers

The Service, including AI-generated responses, is provided “as is” and “as available.” AI-generated content may be inaccurate or incomplete, and Tenants are responsible for reviewing outputs before relying on them for business decisions. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Hakimi Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim arising out of these Terms will not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold Hakimi Labs harmless from any claims, damages, or expenses arising from your misuse of the Service, your violation of these Terms, or your violation of any third party’s rights, including through data or accounts you connect to the Service.

12. Termination

Either party may terminate the Service as set out in the applicable subscription agreement, or, in the absence of one, with reasonable notice. We may suspend or terminate access immediately for material breach of these Terms, including violations of Section 4 (Acceptable Use). Upon termination, we will delete or return Tenant data in accordance with our data retention practices and applicable law.

13. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles, and disputes will be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above, and, where required, by additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
